This Catering Services Contract (“Agreement”) is entered into by and between New Heart Coffee Co LLC (“Company” or “Caterer”), located at 10780 W State Street, PO BOX 254, Star, ID 83669, and the undersigned individual or entity (“Client”).
By paying the required deposit, the Client agrees to the terms and conditions outlined below.
1. Services Provided
The Company will furnish the agreed-upon coffee catering services (“Services”) for the Client’s event (“Event”).
Items included (may include but are not limited to):
Espresso
Cappuccino
Mocha Latte
Vanilla Latte
Seasonal Latte
Chai Latte
Hot Chocolate
Herbal & Black Tea
Milk Options: Whole Milk, Oat Milk, Almond Milk
The Company may make reasonable substitutions or adjustments to the menu if key ingredients become unavailable beyond its control.
2. Event Details & Changes
Event details (date, time, location, number of guests) are outlined in the inquiry form and the Company’s accepted quote confirmation.
Any modifications must be communicated in writing to the Company at least 7 days prior to the Event date.
The Company reserves the right to adjust pricing or apply a surcharge if the number of attendees or other significant Event details change.
3. Deposit & Payment
Deposit: A non-refundable deposit equal to 50% of the total service cost is due upon acceptance of this Agreement.
Final Payment: The remaining balance is due 7 days prior to the Event date unless otherwise agreed to in writing (e.g., Net 30 terms).
Late Payments: Any unpaid balance will incur a $50 late fee plus 1% interest per week (4% per month) until paid in full. Events may be postponed or services withheld until payment is received.
The Event date is not secured until the deposit is received.
Payment may be made by credit card, ACH, or check. Checks should be made payable to New Heart Coffee Co LLC and mailed to the address above.
4. Venue Coordination & Setup
The Caterer requires access to the Venue at least 1 hour before the Event start time for setup and 1 hour after the Event for cleanup and load-out.
The Client is responsible for securing venue access, permissions, and any associated fees.
Outdoor service is only available when there is no chance of rain and temperatures remain between 40°F and 90°F, as adverse weather can damage espresso equipment.
5. Electricity & Power Requirements
The Client must provide a dedicated 120V / 15-amp circuit per espresso machine.
The Caterer will supply extension cords and power strips as needed.
If power is insufficient or improperly supplied, the Caterer is not liable for damages or refunds, and espresso services may be limited or suspended for safety.
6. Insurance
The Company will maintain general liability insurance covering the Services provided at the Event.
7. Indemnification
The Client agrees to indemnify and hold harmless New Heart Coffee Co LLC from any damage, theft, or loss of Company property caused by the negligence or misconduct of the Client, guests, or staff.
8. Cancellations & Refunds
8.1 Deposit Policy
The 50% deposit is non-refundable if the Client cancels the Event.
8.2 Additional Payments Beyond Deposit
30+ Days Before Service: Payments beyond the deposit will be refunded.
Within 7 Days of Service: No refunds will be issued on any amounts paid.
Credit for Future Events: At the Company’s discretion, payments (including the deposit) may be applied as a credit toward a future event, subject to availability.
8.3 Special-Order Items
If custom or special-order items have been purchased and cannot be returned, the Client remains responsible for those costs even in the event of cancellation.
9. Rescheduling
Single-Day Events: Requests made at least 72 hours prior will be accommodated if possible. Requests within 72 hours may require full payment.
Multi-Day Events: A minimum of 7 days’ notice is required. Less notice may result in full charges.
All rescheduling is subject to Company availability.
10. Limitation of Liability
If the Company cannot fulfill its obligations due to circumstances beyond its control (including force majeure, extreme weather, or venue issues), it may—with the Client’s written approval—secure an alternative caterer or issue a refund. The Company is not liable for additional damages.
11. Governing Law & Venue
This Agreement is governed by and interpreted in accordance with the laws of the State of Idaho, without regard to conflict of law principles. Any legal action or proceeding arising out of this Agreement shall be brought exclusively in the state or federal courts located within the State of Idaho.
12. Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements. Amendments must be in writing and signed by both Parties. If any provision is found unenforceable, the remainder remains in effect.
13. No Waiver
Failure to enforce any provision does not constitute a waiver of future enforcement.
14. Acceptance
By submitting the deposit, the Client acknowledges and agrees to all terms of this Agreement. Receipt of the deposit by New Heart Coffee Co LLC confirms the booking.
